Counsel on the capital side, and founders who are ready to be seen.
We advise family offices, private investors and funds on how they hold, how they invest and what they sign, in London, Istanbul and Dubai. And because we also prepare founders, the companies we introduce arrive with their structure, cap table and documents already in order.
Holding structures for UK and cross-border investments, co-investment vehicles and SPVs, and the governance that keeps a family's position clear when several members invest.
02
Deal documents
Term sheets, subscription and shareholders' agreements, articles, SEIS and EIS compliance, convertible instruments and warrants, drafted for English law and negotiated on your side of the table.
03
Diligence on founders
Before you commit: the company's structure, cap table, IP ownership, key contracts, employment and data protection, reported in plain language with what to fix before completion.
04
Readied deal flow
Founders we have prepared, matched to the mandate you give us. Introductions only where both sides fit; no fee to the investor and no success fee on the round.
05
After completion
Board documents, follow-on rounds, option plans, exits and the occasional dispute, with the same team that did the deal.
06
Cross-border
UK, Türkiye and the Gulf in both directions: a family office in Istanbul or Dubai investing in London, or a London fund looking at the region.
Typical mandates
What the work looks like.
Illustrative engagements, not client accounts. Our clients' matters stay confidential.
A family office entering UK venture
A family office with no UK presence wants to start backing early-stage companies in London. We set up the investing vehicle, agree the governance between the family members involved, put SEIS and EIS to work where it applies, and bring the first readied companies that fit the mandate.
A co-investment alongside a lead fund
A private investor is offered a slice of a seed round led by a fund. We read the lead's documents for the terms that bite a minority holder, negotiate the few that matter, and handle the paperwork so completion happens on the lead's timetable.
A founder introduction that went through readiness first
A founder asked us for help raising. Before any introduction, we fixed the cap table, assigned the IP into the company and obtained advance assurance. The investors who then saw the company saw a complete file, and the round closed without the usual month of clean-up.
How we work
Senior counsel, fixed scope, one point of contact.
Every mandate is scoped and priced in writing before work starts, as a project fee or a monthly retainer. You deal with the lawyer who does the work. Discretion is the default: we do not name clients, publish deals or market your investments.
01A first conversation, free, to understand the mandate.
02A written scope and fee within two working days.
03Work begins; you see the documents as they are drafted.
04Completion, and the same team afterwards.
