SUBSCRIPTION AGREEMENT
This Agreement is made on ____________________ between:
(1) ____________________ LTD, a company registered in England and Wales (registration number ____________) whose registered office is at ______________________________________________ (the “Company”);
(2) The persons named in Part A of Schedule 1 (the “Founders” or “Warrantors”); and
(3) The persons named in Part B of Schedule 1 (the “Investors”).
1. Definitions
“Articles”: the articles of association of the Company to be adopted at Completion.
“Completion”: completion of the subscription under clause 3.
“Disclosure Letter”: the letter of this date from the Warrantors to the Investors disclosing matters against the Warranties.
“Data Room”: the electronic data room of documents about the Company made available to the Investors, an index of which is in the Disclosure Letter.
